EULA Version 2.0 — Effective September 2026
THIS IS PROPRIETARY COMMERCIAL SOFTWARE. IT IS NOT OPEN SOURCE. READ THIS AGREEMENT BEFORE PURCHASING, DOWNLOADING, INSTALLING, OR USING THE SOFTWARE.
0. Parties and Scope
0.1 Licensor: i18n Software DBA,
ANDREI MERLESCU
(“Licensor,” “we,” “us”).
0.2 Licensed Software: the i18n Software, comprising its binaries, HTTP/2
translation daemon, administration portal, configuration tooling, documentation, source code where
separately made available under Section 5, and all updates and patch releases supplied to you.
0.3 Contact: legal@i18n.software
1. Definitions
“You” means the individual or legal entity exercising rights under this Agreement, together with any entity that controls, is controlled by, or is under common control with it.
“Minor Version” means a release line identified by the MAJOR.MINOR components of its
semantic version number. A license to version 2.4 covers every patch release in the
2.4.x line. Versions 2.5 and 3.0 are separate Minor Versions
requiring separate licenses.
“License Fee” means the per-Minor-Version fee stated in Section 6.
“Network” means the public IP address, or the CIDR block containing it, observed by the Licensor at the time of purchase.
“Your Application” means a product or service developed and operated by you, into which the Licensed Software is integrated as a supporting component, and whose primary value to its users is something other than the functionality of the Licensed Software itself.
“Competing Offering” means any product or service made available to third parties that provides translation-serving, localization-management, or text-to-speech pipeline functionality substantially similar to that of the Licensed Software, whether hosted, managed, embedded, or distributed.
2. Acceptance
You accept this Agreement by completing a purchase, downloading, installing, or using the Licensed Software, whichever occurs first. If you accept on behalf of an entity, you represent that you are authorized to bind it. The version of this Agreement in effect on the date you license a given Minor Version governs that Minor Version permanently; later amendments apply only to Minor Versions licensed afterward.
3. License Grant
Subject to your compliance with this Agreement and payment of the applicable License Fee, the Licensor grants you a non-exclusive, non-transferable, non-sublicensable, worldwide, revocable license, for the term of this Agreement, to:
(a) install and run the licensed Minor Version on servers and workstations you own or control, for
internal business purposes and in production;
(b) integrate the Licensed Software into Your Application and operate Your Application commercially;
(c) make a reasonable number of copies solely for backup, staging, disaster recovery, and archival
purposes, each bearing all original notices.
3.1 Licensed, Not Sold. The Licensed Software is licensed, not sold. No title, ownership interest, or intellectual property right transfers to you under this Agreement or under any payment made pursuant to it. All rights not expressly granted are reserved by the Licensor.
3.2 Per-Version. This license applies separately to each Minor Version. Licensing one Minor Version confers no right to any other.
3.3 No Conversion. The Licensed Software is proprietary commercial software. It is not open source, is not source-available except under Section 5, and carries no future date on which its license changes. Any statement to the contrary in earlier marketing material, repository metadata, or prior versions of this page is superseded as to versions distributed under this Agreement.
4. Delivery and Download Entitlement
Payment grants immediate access to download binaries of the licensed Minor Version for Linux, Windows, or macOS on Silicon or Intel architectures (arm64 or amd64). No serial key is required.
Download entitlements are limited to nine (9) downloads per purchase and are restricted to the purchasing Network. These are operational limits on the delivery service, not on the license itself: exhausting them does not render your continued use of an already-downloaded binary unlicensed. If you need additional downloads, or your Network has changed, contact the Licensor. You agree not to circumvent, disable, or run automated tooling against the download counter or Network check.
5. Source Access for Sponsors
The License Fee grants access to compiled binaries only. The Licensor has no obligation to distribute source code.
Source access is offered as a separate commercial benefit to active sponsors of the Licensor, at the sponsorship tiers published by the Licensor from time to time. Source code so provided is confidential information of the Licensor, is licensed for reference, audit, debugging, and the preparation of internal modifications only, and may not be redistributed, published, mirrored, or disclosed to any third party.
Internal modifications you prepare from sponsor source are licensed to you on the same terms as the Licensed Software, are subject to the same restrictions, and may be deployed only within Your Application. The Licensor retains all rights in the underlying work. Where you contribute a modification back to the Licensor, you grant the Licensor a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and distribute it without restriction or obligation of attribution.
Repository access, credentials, and any private distribution channel are revocable at the Licensor's discretion upon lapse or cancellation of sponsorship. Revocation withdraws access to future material. It does not retroactively unlicense binaries you lawfully hold, and it does not release you from the confidentiality obligation in this Section, which survives indefinitely.
6. Fees, Taxes, and Refunds
The License Fee is $39.99 USD per Minor Version, payable in advance. Fees are exclusive of VAT, GST, sales, use, withholding, and similar taxes, which are your responsibility where applicable and which may be collected by the Licensor or its payment processor and remitted on your behalf. The Licensor may change pricing for future Minor Versions at any time; a price change never affects a Minor Version you have already licensed.
Because delivery is performed in full upon download, the License Fee is non-refundable once a download has been initiated, except where a refund is required by applicable law, or where the delivered build is materially defective and the Licensor cannot supply a working build within a reasonable period. Where you are a consumer in a jurisdiction granting a statutory cancellation right for digital content, you consent to immediate delivery and acknowledge that you thereby lose that right to the extent your law permits such waiver.
Initiating a chargeback rather than contacting the Licensor suspends your license until the dispute is resolved.
7. Restrictions
Except to the extent expressly permitted above or required by applicable law, you may not:
(a) sell, resell, rent, lease, lend, sublicense, distribute, publish, mirror, or otherwise make the
Licensed Software available to any third party, whether standalone or repackaged;
(b) provide the Licensed Software, or a substantial subset of its features, to third parties as a
hosted, managed, or as-a-service offering;
(c) use the Licensed Software to build, operate, or support a Competing Offering;
(d) share your download entitlement, credentials, or sponsor repository access outside your
organization;
(e) reverse engineer, decompile, or disassemble the binaries, or attempt to derive source code from
them;
(f) remove, obscure, or alter any copyright, trademark, license, or attribution notice, or any
third-party notices file shipped with the Licensed Software;
(g) use the Licensed Software in violation of applicable law, or in breach of any third-party service
terms applicable to an endpoint you configure.
7.1 Statutory Carve-Out. Clause (e) does not apply where, and only to the extent that, applicable law confers a non-waivable right to decompile or otherwise analyze the Licensed Software — including Article 6 of Directive 2009/24/EC in the European Union, the equivalent provisions of United Kingdom law, and sections 47D–47F of the Copyright Act 1968 (Cth) in Australia. Where you intend to rely on such a right for interoperability, you agree to first request the necessary interoperability information from the Licensor in writing, which the Licensor will supply on reasonable terms.
7.2 Trademarks. This Agreement grants no right in any trademark, service mark, logo, or trade name of the Licensor or its affiliates.
8. Ownership
The Licensed Software is protected by copyright and other intellectual property laws and treaties. The Licensor and its suppliers own all right, title, and interest in and to the Licensed Software, including all copies and derivative works of it, however made. You own the translation records, source strings, generated audio, configuration, and other data you create or process using the Licensed Software, and the Licensor claims no interest in it.
Feedback, bug reports, and suggestions you provide may be used by the Licensor without restriction, obligation, or compensation.
9. Third-Party Components and External Services
The i18n software does not create or modify any translations or transcriptions into text
or audio form. The software wraps around existing artificial intelligence (AI) systems.
i18n creates an HTTP2 daemon for serving translations and renders an administration portal
to maintain records. Records are cached and served in memory to front-end web applications written in
PHP, Ruby, Python, TypeScript and many others. Text remains in the source locale indefinitely until a
large language model is connected via AI_HOST. Audio files are compiled when
i18n is connected via VOICEBOX_URL.
9.1 Open-Source Components. The Licensed Software incorporates third-party components licensed
under their own terms, identified in the THIRD-PARTY-NOTICES file distributed with each
build. Those terms govern those components and, to the extent they conflict with this Agreement as to
those components, they control. Nothing in this Agreement restricts any right you hold in a
third-party component under its own license.
9.2 ffmpeg. ffmpeg must be installed on the system running
i18n in order to convert .wav files into .mp3 files.
ffmpeg is not distributed with the Licensed Software, is invoked as a separate
executable, and is licensed to you by its own authors under its own terms. You are responsible for
obtaining it and for any patent or codec licensing its use may require in your jurisdiction. With the
-transcode argument enabled, you'll reduce disk usage dramatically for stored audio
files. A 30-second .wav can easily be 2.7MB but with
-transcode enabled on the i18n binary, the converted .mp3 can be
as small as 117KB versus being 20-30x larger. This can dramatically save network transfer fees
if your hosting is billed that way.
9.3 External Services. Any endpoint you configure via AI_HOST or
VOICEBOX_URL is a third-party service operated under a separate agreement between you and
its provider. You are solely responsible for your credentials, your usage costs, your compliance with
that provider's terms, and for the content you transmit to it. The Licensor does not operate, endorse,
or warrant any such service and is not a party to your relationship with it.
10. Translation Liability
i18n Software is not responsible for any translation, misunderstanding, misinterpretation,
mistranslation, omission, or confusion caused by a translated or synthesized string, whether produced
by a connected language model, a voice synthesis service, or a human editor using the administration
portal. You are responsible for reviewing output before publishing it. Do not rely on the Licensed
Software for translations bearing on safety, medical, legal, financial, or regulatory outcomes without
independent human verification.
11. Data and Telemetry
The Licensed Software runs on infrastructure you control. The Licensor does not receive your translation records, source strings, generated audio, or end-user data. The Licensed Software performs no network callback to the Licensor. Personal data processed in connection with your purchase is handled under the Licensor's Privacy Policy.
12. Support and Updates
The License Fee includes delivery of the licensed Minor Version and its patch releases while that line remains supported. It does not include support, consulting, service-level commitments, or upgrades to a later Minor Version. The Licensor may discontinue any Minor Version line at any time; discontinuation does not affect your license in binaries already delivered.
13. Term and Termination
This Agreement takes effect on acceptance and continues perpetually as to each Minor Version you have licensed, unless terminated.
The Licensor may terminate this Agreement if you materially breach it and fail to cure the breach within thirty (30) days of written notice. Breach of Section 7(a), (b), (c), or (d), or of the confidentiality obligation in Section 5, permits immediate termination without a cure period.
On termination, the rights granted in Section 3 end. You must cease all use of the Licensed Software and destroy all copies, including any sponsor source in your possession, and certify destruction on request. Sections 3.1, 5 (confidentiality), 6 (accrued fees), 8, 10, 14, 15, 16, 17, and 20 survive termination.
14. Warranty Disclaimer
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED SOFTWARE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. LICENSOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING (WITHOUT LIMITATION) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE, AND ANY WARRANTY THAT THE LICENSED SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ITS OUTPUT WILL BE ACCURATE.
Nothing in this Agreement excludes or limits any warranty, guarantee, or right that cannot lawfully be excluded or limited, including consumer guarantees under the Australian Consumer Law, the UK Consumer Rights Act 2015, and equivalent EU member-state law.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OR CORRUPTION OF DATA), ARISING OUT OF THE USE OR INABILITY TO USE THE WORK. THE LICENSOR'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL BE STRICTLY CAPPED AT THE GREATER OF FEES PAID IN THE PRIOR 6 MONTHS OR $39.99 USD.
These limits apply regardless of the theory of liability and even if the Licensor has been advised of the possibility of such damages. They do not apply to liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or to any other liability that cannot lawfully be limited.
16. Indemnity
You will defend and indemnify the Licensor against third-party claims arising from your use of the Licensed Software in breach of this Agreement, from content you transmit to a configured external service, from translated or synthesized output you publish, and from Your Application.
17. Export and Sanctions Compliance
You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive trade sanctions, and that you are not listed on any restricted-party list maintained by the United States, the European Union, the United Kingdom, or other applicable authority. You will not export, re-export, or make the Licensed Software available in violation of applicable export control or sanctions law.
18. U.S. Government End Users
The Licensed Software is “commercial computer software” and “commercial computer software documentation” as those terms are used in FAR 12.212 and DFARS 227.7202. Government end users acquire only the rights set out in this Agreement.
19. Assignment
You may not assign or transfer this Agreement, or any license granted under it, without the Licensor's prior written consent, except to a successor of all or substantially all of your business or assets, provided the successor is not a Competing Offering and agrees in writing to be bound. The Licensor may assign this Agreement freely. Any attempted assignment in breach of this Section is void.
20. Governing Law and Venue
This Agreement is governed by the laws of NH, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The courts of Belknap County, NH, USA have exclusive jurisdiction, and each party consents to venue there. Where you are a consumer, this Section does not deprive you of the protection of mandatory provisions of the law of your country of residence, nor of the right to bring proceedings in your local courts.
21. General
Entire Agreement. This Agreement is the entire agreement between the parties as to the Licensed Software and supersedes all prior proposals, representations, and understandings, except a separately signed written agreement with the Licensor, which controls to the extent of any conflict.
Amendment. The Licensor may amend this Agreement for future Minor Versions by publishing a revised version on this page. Amendments do not apply retroactively to a Minor Version already licensed to you.
Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the remainder stays in effect.
No Waiver. A failure to enforce any provision is not a waiver of it or of any other provision.
Independent Contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.
Force Majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control.
Notices. Notices to the Licensor go to the contact address in Section 0.3. Notices to you go to the email address associated with your purchase.
Language. This Agreement is executed in English. Any translation is provided for convenience only, and the English text controls.
